Blue Chip Works Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Blue Chip Works website, online platform, customer dashboards, digital services, and consumer services offered through www.bluechipworks.com.

These Terms constitute a binding agreement between you and Blue Chip Works LLC, a Texas limited liability company (“BCW,” “Blue Chip Works,” “we,” “our,” or “us”).

By creating an account, purchasing a service, submitting payment, clicking an acceptance box, activating a service, or otherwise using a service to which these Terms apply, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree, do not purchase or use the applicable service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase services through the general BCW commercial website.

By using the service, you represent that you satisfy these requirements.

Programs separately provided to minors through schools, nonprofit initiatives, institutional partners, community programs, or Blue Chip Works Inc. may be governed by separate agreements and participation requirements.

2. Blue Chip Works Services

BCW may offer services including:

  • Job-search assistance
  • Job-application support
  • Career navigation
  • Résumé review
  • Career and professional-development services
  • Coaching
  • Training
  • Workforce services
  • HR and people-operations support
  • Payroll-related administrative support
  • Virtual administrative support
  • Consulting
  • Employer services
  • Customer-support workforce solutions
  • Other professional or technology-enabled services

Specific services may be governed by an order form, proposal, statement of work, subscription description, engagement letter, employer agreement, service agreement, purchase screen, or other written terms.

If specific written service terms conflict with these general Terms, the more specific written terms will control with respect to that service.

3. Job Application Concierge and Career Services

BCW may provide services through which customers authorize BCW to assist with identifying employment opportunities and preparing or submitting employment applications.

Customer Authorization

By purchasing or activating a job-application service, you authorize BCW and its employees, contractors, representatives, approved technology systems, and service providers to take reasonable actions necessary to perform the service selected by you.

These activities may include:

  • Searching for employment opportunities
  • Reviewing job descriptions
  • Comparing opportunities against preferences supplied by you
  • Using your résumé and professional information
  • Preparing application materials
  • Formatting information
  • Drafting application responses from information you provide
  • Entering information into employment applications
  • Submitting employment applications to third-party employers or platforms where authorized by the applicable service

This authorization is limited to activities reasonably related to performing the service purchased by you.

Accuracy of Customer Information

You are solely responsible for ensuring that information supplied to BCW is complete, truthful, current, and accurate.

BCW is entitled to rely on information supplied by you.

You may not instruct BCW to submit information that is false, fraudulent, materially misleading, unlawfully obtained, or otherwise unauthorized.

BCW may decline to submit information it reasonably believes could be inaccurate, misleading, fraudulent, inappropriate, or unlawful.

Customer Preferences

BCW may permit customers to establish:

  • Preferred job titles
  • Industries
  • Geographic preferences
  • Compensation expectations
  • Remote, hybrid, or onsite preferences
  • Seniority preferences
  • Employer exclusions
  • Job exclusions
  • Other search parameters

BCW will use reasonable efforts to apply those preferences, but job descriptions and employer classifications are inherently subjective.

An application will not automatically be considered defective solely because a customer later determines that a position was not preferred.

No Employment Guarantee

BCW does not control:

  • Employers
  • Recruiters
  • Hiring managers
  • Applicant-tracking systems
  • Job boards
  • Interview decisions
  • Background checks
  • Assessments
  • Compensation decisions
  • Hiring timelines
  • Employment outcomes

Accordingly:

Purchasing a Blue Chip Works career or application service does not guarantee an interview, callback, job offer, employment, placement, salary level, promotion, or any other employment outcome.

Customers purchase services and work performed by BCW—not a hiring result.

Employer rejection, employer silence, hiring freezes, job-posting removal, applicant competition, changes in employer requirements, or another third-party hiring decision do not constitute a failure by BCW to deliver services properly performed.

Applicant-Only Actions

Certain employers may require direct action from the applicant, including:

  • Identity verification
  • Assessments
  • Background-check authorizations
  • Drug-testing authorizations
  • Legal attestations
  • Electronic signatures
  • Recorded interviews
  • Interviews
  • Questionnaires
  • Other personal confirmations

BCW is not responsible for completing actions that legally, ethically, technologically, or practically must be performed by the customer.

4. Application Entitlements and Service Credits

Certain BCW services may operate using application entitlements, service credits, BCW Credits, or similar units. Career Navigator specifically expresses its unit as "applications" rather than "credits." BCW Credits are a separate, general-purpose account balance that some customers may hold in addition to their Career Navigator application balance — the two are never interchangeable or automatically convertible into one another. Both are governed by the general rules below unless stated otherwise.

Unless the applicable purchase terms expressly state otherwise:

  • A unit (application, credit, or similar) represents a right to receive the corresponding service—not cash or stored monetary value
  • Units are personal to the purchasing or holding account
  • Units may not be sold, transferred, resold, exchanged, or redeemed for cash
  • Units expire when the applicable service period expires, where a service period applies
  • Expired or unused units do not generate a refund
  • Customers are responsible for supplying information reasonably necessary for BCW to use the units during the service period
  • Customer delay, inactivity, failure to provide requested information, or failure to respond does not extend the expiration date unless BCW agrees otherwise in writing

Where a qualifying application could not be completed solely because of a documented BCW processing error, BCW may, at its discretion, restore the applicable application.

An employer's subsequent rejection, removal of a job posting, cancellation of a vacancy, change in qualifications, or decision not to hire does not invalidate an otherwise completed application.

5. Account Responsibilities

You are responsible for:

  • Providing accurate account information
  • Maintaining secure credentials
  • Restricting unauthorized account access
  • Keeping contact and payment information current
  • Reviewing account activity
  • Promptly notifying BCW of suspected unauthorized access

Accounts may not be resold, shared, rented, or commercially transferred without BCW's written permission.

6. Acceptable Use

Customers may not use BCW services to:

  • Violate applicable law
  • Commit fraud
  • Make intentional misrepresentations
  • Impersonate another person
  • Submit applications without authorization
  • Circumvent service limits
  • Interfere with system security
  • Introduce malware or malicious technology
  • Access another person's account
  • Systematically scrape or extract BCW proprietary information
  • Reverse engineer protected BCW systems except where restriction is prohibited by law
  • Harass or harm another person
  • Violate intellectual-property or privacy rights
  • Create unlawful discriminatory outcomes
  • Resell BCW services without written authorization

BCW may suspend access where it reasonably believes misuse is occurring.

7. Artificial Intelligence and Automation

BCW may incorporate artificial intelligence, machine-assisted technology, algorithms, automation, or similar systems into service delivery and business operations.

Such technology may assist with:

  • Opportunity identification
  • Matching
  • Data organization
  • Content preparation
  • Workflow management
  • Administrative processing
  • Analytics
  • Customer support
  • Quality assurance

AI-assisted technology can produce incorrect or incomplete information.

BCW does not guarantee that machine-assisted content will be error-free or appropriate in every circumstance.

Customers remain responsible for providing accurate source information and promptly identifying material inaccuracies.

BCW does not represent that its technology replaces employer judgment or constitutes legal, tax, accounting, medical, financial, or other regulated professional advice.

8. Pricing, Fees, and Payment Authorization

Prices applicable to a service will be disclosed before purchase or contained in an applicable agreement.

By purchasing a service, you:

  1. Agree to pay the stated price and applicable taxes or disclosed fees
  2. Represent that you are authorized to use the payment method supplied
  3. Authorize BCW and its payment processor to charge the payment method for amounts properly due under the purchase
  4. Agree to keep billing information current where recurring services are involved

Payment obligations are not contingent upon whether a customer achieves a particular business, employment, career, financial, organizational, or other outcome.

Except where BCW expressly agrees otherwise in writing, fees are due before BCW is required to begin the applicable consumer service.

BCW may suspend or withhold services for overdue balances.

9. Subscriptions and Automatic Renewal

Certain BCW services may be offered through recurring subscriptions.

Where automatic renewal applies, BCW will disclose the material renewal terms, including applicable pricing and billing frequency, before enrollment.

By affirmatively enrolling in an automatically renewing service, you authorize BCW or its payment processor to charge the applicable recurring fee to your designated payment method until the subscription is canceled or otherwise terminated.

A subscription cancellation prevents future renewal charges after the effective cancellation date.

Cancellation does not retroactively refund charges validly incurred before cancellation.

Customers remain entitled to receive services already purchased through the applicable paid service period unless access is terminated for breach of these Terms or the specific service states otherwise.

BCW will provide a reasonable mechanism for canceling an automatically renewing service.

10. Cancellation, Refund, Credit, and Payment Dispute Policy

General Policy

Except where required by applicable law or expressly stated otherwise in writing by BCW, all sales are final once service delivery has begun.

BCW sells professional services, labor, administrative capacity, technology-enabled services, reserved service capacity, digital service access, and other work that may begin immediately or shortly after purchase.

Accordingly, customers should review the applicable service description carefully before purchasing.

Services That Have Begun

A service will be considered to have begun when BCW has undertaken material work associated with the customer's purchase. Examples may include:

  • Account setup
  • Onboarding
  • Staff or contractor assignment
  • Research
  • Job searching
  • Job matching
  • Application preparation
  • Application submission
  • Résumé review
  • Coaching preparation
  • Meeting preparation
  • Administrative processing
  • Technology provisioning
  • Reserved staffing capacity
  • Creation of deliverables
  • Other substantive work

Once such work has begun, the applicable payment is generally non-refundable.

Completed Services

Fees associated with completed services are non-refundable except where required by law.

A customer's dissatisfaction with a result controlled by a third party—including an employer, recruiter, job platform, payroll provider, client, prospect, or other external party—does not make an otherwise properly delivered BCW service refundable.

Job Application Services

Job-application and career-navigation fees pay for the work BCW performs.

They do not purchase or guarantee employment outcomes.

Accordingly, no refund will be due solely because:

  • An employer rejects an application
  • No interview is offered
  • No employment offer is received
  • The employer does not respond
  • A job posting is removed
  • A position is filled
  • Employer criteria change
  • Compensation differs from expectations
  • The customer otherwise does not obtain the desired hiring outcome

Applications and Service Credits

Unused or expired applications and service credits are generally:

  • Non-refundable
  • Non-transferable
  • Not redeemable for cash
  • Subject to the applicable service period

BCW may restore a credit where BCW determines that the applicable service was not performed because of a documented BCW processing error.

Customer Failure to Participate

A customer is not entitled to a refund because the customer:

  • Fails to respond
  • Fails to attend a scheduled service
  • Fails to supply required information
  • Provides incomplete or inaccurate information
  • Delays onboarding
  • Abandons the service
  • Changes priorities
  • Changes employment goals
  • No longer wants the service
  • Fails to use purchased services before their expiration date

BCW may voluntarily provide rescheduling, extensions, credits, or other accommodations at its discretion.

Duplicate or Incorrect Charges

If BCW confirms that a customer was charged:

  • Twice for the same transaction
  • An amount different from the authorized purchase price
  • After a cancellation that should have stopped a recurring charge

BCW will provide an appropriate correction, refund, or credit.

BCW Cancellation

If BCW cancels a prepaid service before substantial work has begun and does not offer a commercially reasonable substitute, BCW may provide a refund for the unperformed portion of the service.

If BCW terminates services because of a customer's breach, fraud, abusive conduct, nonpayment, misuse, or violation of these Terms, BCW is not obligated to refund amounts attributable to work already performed or costs already incurred, except where required by law.

Discretionary Credits and Refunds

BCW reserves the right, but assumes no obligation, to provide:

  • Courtesy refunds
  • Partial refunds
  • Account credits
  • Replacement credits
  • Extensions
  • Re-performance
  • Other accommodations

Providing such a remedy in one situation does not create a contractual obligation or precedent requiring BCW to provide the same remedy in another situation.

Refund Requests

Any request concerning an alleged billing or service-delivery error should be submitted promptly to admin@bluechipworks.com. The request should include sufficient information for BCW to identify the customer, transaction, and issue.

BCW may request additional information reasonably necessary to investigate the matter.

Payment Disputes and Chargebacks

Customers agree to make a good-faith effort to contact BCW regarding a payment dispute before initiating a chargeback or payment reversal.

A chargeback does not automatically terminate the customer's underlying contractual payment obligation.

Knowingly initiating a fraudulent, materially misleading, or improper chargeback for services properly authorized and delivered may constitute a material breach of these Terms.

Where permitted by law, BCW may suspend the applicable account or services while a disputed payment remains unresolved and may pursue amounts legitimately owed.

Nothing in this section restricts a customer's lawful rights concerning genuinely unauthorized transactions or rights that cannot legally be waived.

11. Business Services

HR, payroll-support, consulting, coaching, training, staffing-related, workforce, virtual-assistant, and similar business-to-business engagements may require separate agreements.

Unless expressly agreed in a signed writing, BCW is not the customer's:

  • Attorney
  • Accountant
  • Tax advisor
  • Insurance broker
  • Professional employer organization
  • Employer of record
  • Fiduciary

Business customers remain responsible for legal, tax, employment, payroll, regulatory, and compliance obligations except to the extent a signed agreement expressly assigns a particular responsibility to BCW.

12. Third-Party Services

BCW services may interact with:

  • Employers
  • Job boards
  • Applicant-tracking systems
  • Payment processors
  • Payroll platforms
  • Software providers
  • Artificial-intelligence providers
  • Communications providers
  • Other third-party services

BCW does not control those third parties.

Their terms, availability, systems, actions, policies, and decisions may apply independently.

BCW is not responsible for third-party conduct merely because the third-party service is linked to, accessed through, or used in connection with BCW.

13. Intellectual Property

The BCW website and its original:

  • Branding
  • Logos
  • Graphics
  • Designs
  • Software
  • Workflows
  • Systems
  • Training materials
  • Written materials
  • Service descriptions
  • Methodologies
  • Content
  • Other proprietary materials

are owned by or licensed to Blue Chip Works LLC and are protected by applicable intellectual-property law.

Subject to these Terms, customers receive a limited, personal, revocable, non-exclusive, non-transferable right to access applicable BCW services for their intended purpose.

Purchasing BCW services does not transfer ownership of BCW intellectual property.

14. Customer Materials

Customers retain ownership of materials they lawfully provide to BCW, including résumés and original documents.

Customers grant BCW a limited license to access, reproduce, format, modify, transmit, store, and otherwise process those materials as reasonably necessary to:

  • Perform requested services
  • Operate BCW systems
  • Maintain security
  • Perform quality assurance
  • Maintain legally required records
  • Fulfill applicable contractual and legal obligations

Customers represent that they possess appropriate rights to materials supplied to BCW.

15. Feedback

If a customer voluntarily provides ideas, suggestions, recommendations, comments, or feedback concerning BCW's services, BCW may use that feedback to improve its business without an obligation to compensate the customer.

Any use of personal information contained in feedback remains subject to applicable privacy requirements.

16. Service Availability

BCW works to provide dependable services but does not guarantee uninterrupted or error-free availability.

Services may be interrupted because of:

  • Maintenance
  • Upgrades
  • Third-party outages
  • Internet failures
  • Cybersecurity incidents
  • Platform changes
  • Employer-system restrictions
  • Force majeure events
  • Other circumstances beyond BCW's reasonable control

BCW may modify, replace, improve, discontinue, or add service features subject to obligations established in any applicable specific customer agreement.

17. Suspension and Termination

BCW may suspend or terminate access when reasonably necessary because of:

  • Material violation of these Terms
  • Fraud or suspected fraud
  • Nonpayment
  • Payment reversal
  • Security concerns
  • Platform misuse
  • Abusive conduct
  • Legal or regulatory requirements
  • Conduct creating material risk to BCW or another party

Where reasonably practicable, BCW may provide notice.

Customers may discontinue use of BCW services subject to outstanding contractual, payment, subscription, or service obligations.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, BCW services are provided on an “as is” and “as available” basis.

BCW disclaims warranties not expressly provided in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are legally permitted.

BCW does not warrant that:

  • Every service will produce a particular outcome
  • Every job application will result in employer interest
  • Third-party services will remain available
  • Technology will operate without interruption
  • AI-assisted output will always be error-free

Nothing in these Terms eliminates rights or warranties that cannot lawfully be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Blue Chip Works LLC and its officers, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from or related to the general website or services, including lost profits, lost business opportunities, lost employment opportunities, lost data, or reputational harm.

To the maximum extent permitted by law, BCW's aggregate liability arising out of a particular paid consumer service will not exceed the amount actually paid to BCW by the customer for that service during the twelve months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot lawfully be excluded or limited.

20. Indemnification

To the extent permitted by law, customers agree to indemnify and hold harmless Blue Chip Works LLC and its officers, employees, directors, contractors, and agents from third-party claims arising directly from:

  • A material violation of these Terms
  • Fraudulent or intentionally false information supplied by the customer
  • Unlawful use of BCW services
  • Unauthorized submission of another person's information
  • Infringement of another person's legal rights

This section does not require indemnification for BCW's own conduct where such indemnification would be prohibited by law.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Unless another signed agreement expressly provides a different dispute-resolution procedure, any legal proceeding arising from or relating to these Terms or the applicable services shall be brought in a court of competent jurisdiction located in Harris County, Texas, subject to any jurisdictional requirements imposed by applicable law.

Each party consents to such jurisdiction and venue to the extent legally permissible.

22. Changes to These Terms

BCW may update these Terms periodically.

Where reasonably appropriate, material changes affecting existing paid services may be communicated through:

  • Email
  • Account notification
  • Website notification
  • Another reasonable method

Changes will not retroactively eliminate accrued rights where prohibited by law.

23. Electronic Communications

By creating an account or using online BCW services, you consent where legally permitted to receive agreements, notices, disclosures, records, transaction confirmations, billing notices, and service communications electronically.

Marketing communications are subject to applicable opt-out rights.

24. Severability, Waiver, and Assignment

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

BCW's failure to enforce a provision does not waive its right to enforce the provision later.

Customers may not assign these Terms where assignment would materially affect BCW's rights or obligations without BCW's written consent.

BCW may assign these Terms in connection with:

  • A merger
  • Acquisition
  • Reorganization
  • Financing
  • Corporate restructuring
  • Sale of assets
  • Similar business transaction

25. Entire Agreement

These Terms, together with applicable:

  • Service-specific agreements
  • Order forms
  • Statements of work
  • Purchase terms
  • Subscription terms
  • Privacy policies
  • Policies expressly incorporated by reference

constitute the agreement governing the applicable service.
